金管會研議調降上市櫃公司強制設立獨立董事的資本額門檻，資誠會計師事務所所長薛明玲昨（28）日表示贊成，但建議對於獨董的風險與責任應先有「商業判斷法則」，獨立董事如果做到應有的注意、也沒有涉及利害關係，當公司出問題時，獨立董事可減輕責任。
